1. Acceptance of Terms
2. Services
Digrov provides digital marketing and technology services, including but not limited to: Website Design & Development, SEO, Content Writing, PPC Management, Social Media Management, Email Marketing, and AI Chatbot Solutions.
Service Delivery: We will deliver services according to the scope of work outlined in the specific Service Agreement or Proposal signed by both parties.
Client Responsibilities: The client agrees to provide all necessary content, access, materials, and timely feedback required for Digrov to complete the services. Delays caused by the client may result in adjustments to the project timeline.
Third-Party Tools: We may use or recommend third-party software, platforms (e.g., Google Ads, Facebook), or hosting services. Digrov is not responsible for any downtime, changes, or service interruptions by these external providers.
3. Fees, Payments, and Refunds
Pricing: All pricing is listed in the Proposal or Service Agreement and is payable according to the agreed-upon schedule.
Payment Terms: Services billed monthly (e.g., SEO, SMM) are typically paid via an automated monthly retainer. Project-based fees (e.g., Website Setup) often require an upfront deposit (e.g., 50%) before work commences.
Late Payments: Digrov reserves the right to suspend work or services until overdue balances are paid.
Refunds: All fees are generally non-refundable. Since our work involves significant time, strategy, and upfront resources, services are billed for time rendered and strategy deployed.
4. Cancellation and Termination
Monthly Services: Ongoing monthly services (retainers) require a 30-day written notice for cancellation.
Termination by Digrov: We reserve the right to terminate services immediately if the client breaches these T&C, fails to pay outstanding invoices, or engages in abusive or inappropriate conduct.
5. Intellectual Property (IP)
Client IP: The client retains full ownership of all provided source materials, text, images, and data.
Work Product: Upon full and final payment for a project (e.g., a website or logo design), the client is granted exclusive, transferable ownership of the final deliverables created specifically for them.
Digrov IP: Digrov retains ownership of any internal tools, proprietary software, pre-existing components, methodologies, and general knowledge used in the provision of services.
6. Limitation of Liability
Digrov will not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services, including but not limited to loss of revenue, data, or projected profits. The total liability of Digrov to the client for any claim shall not exceed the total fees paid by the client to Digrov in the three (3) months immediately preceding the date the claim arose.
